01 Our Services

Parapheonix provides video and audio processing tools for personal and creative use. You upload a file, we process it (trim, convert, compress, extract audio, normalise loudness, etc.), and you download the result. Files uploaded to the server are processed and then deleted — we do not store, publish, or use your media for any other purpose.

All tools are available on the free tier within daily usage limits. The tools are not designed for regulated industries (HIPAA, FISMA, etc.) and should not be used for sensitive or confidential material. If you are outside Ireland, you are responsible for ensuring your use complies with any local laws that apply to you.

02 Intellectual Property Rights

Our intellectual property

All content, code, designs, and branding on the Services belong to Parapheonix and are provided for your personal, non-commercial use only. You may not copy, reproduce, resell, or exploit any part of the Services for commercial purposes without our written permission. Enquiries can be sent to [email protected].

Your use of the Services

We grant you a revocable, non-transferable licence to use the Services for personal, non-commercial purposes. Any violation of these terms ends that licence immediately.

Feedback and submissions

If you send us feedback, suggestions, or ideas, you agree we may use them freely without any obligation to compensate you. Please don't send us anything you consider confidential.

03 User Representations

By using the Services, you represent and warrant that:

1. You own, or have the rights to process, every file you upload to the Services;
2. Processing your files through our tools does not infringe any copyright, licence, or other third-party rights;
3. Any account information you provide is truthful and kept up to date;
4. You are not a minor, or if a minor, you have received parental permission to use the Services;
5. You will not use the Services for any illegal or unauthorised purpose; and
6. Your use of the Services will not violate any applicable law or regulation.

If any of the above is untrue, we reserve the right to suspend or terminate your access.

04 User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

05 Purchases & Payment

Parapheonix does not sell anything and does not process payments. Every tool is provided free of charge, subject to the usage limits described below. We do not collect or store any billing or card information.

06 Usage Limits

What free usage includes

All tools on Parapheonix — including AI-powered tools — are available to every user for free within daily limits. Guest (not signed in) usage has a lower daily limit; creating a free account raises it. No feature is ever gated behind payment — limits only govern how many times per day you can run a tool.

Higher limits

If your daily limit doesn't fit a legitimate use case, contact us at [email protected] and we'll see what we can do.

07 Policy

Parapheonix does not process any sales or purchases, so no refund policy applies.

08 Prohibited Activities

You may only use the Services to process files you own or have the rights to process. You agree not to:

• Upload files you do not own or do not have a licence to process (including commercially released music, films, or other DRM-protected content).
• Use the Services to circumvent copy protection, digital rights management (DRM), or any access control on a file.
• Use the Services to process, reproduce, or distribute copyrighted content in a way that infringes the rights of the copyright holder.
• Upload files containing malware, viruses, or any code designed to exploit or disrupt our processing pipeline.
• Use automated scripts, bots, or tools to bulk-submit files or bypass daily usage limits.
• Attempt to reverse-engineer, scrape, or copy the site's code or tools.
• Create accounts by automated means or under false pretences to circumvent free-tier limits.
• Interfere with or place an undue burden on our servers or network infrastructure.
• Attempt to bypass any rate limits, account restrictions, or security measures.
• Harass, threaten, or abuse us in connection with the Services.
• Use the Services for any illegal purpose or in violation of any applicable law.

09 User Generated Contributions

Parapheonix is a file processing service — users do not post or publish content publicly on the site. When you upload a file, it is used solely to generate your requested output and is then deleted from our servers. We do not view, share, or make any further use of your uploaded files.

You are solely responsible for the files you upload. By uploading a file you confirm that you own it or have the necessary rights to process it, and that processing it through our tools does not violate any law or third-party rights.

10 Contribution Licence

You retain full ownership of any files you upload and any output files you download. We claim no rights over your media. Files are processed on your behalf and are not retained beyond what is needed to complete the task.

If you send us feedback or suggestions, you agree we may act on them freely without any obligation to compensate you.

11 Advertisers

We may display advertisements on the site to help cover running costs. We are not responsible for the content of third-party ads and have no relationship with advertisers beyond providing the display space.

12 Services Management

We reserve the right to monitor the Services for misuse, remove content or accounts that violate these terms, block access to any user for any reason, and take action — including contacting authorities — where we believe the law has been broken. We also reserve the right to remove files or content that place an undue burden on our systems.

13 Privacy Policy

We care about data privacy and security. Please review our Privacy Policy at parapheonix.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

Please be advised the Services are hosted in Ireland. If you access the Services from any other region of the world with laws governing personal data collection, use, or disclosure that differ from applicable laws in Ireland, then through your continued use of the Services, you are transferring your data to Ireland, and you expressly consent to have your data transferred to and processed in Ireland.

Cookies. We use cookies and similar tracking technologies on the Services. Strictly necessary cookies (including the APIToken session cookie) are required for the site to function and cannot be disabled. We also serve advertising through Google AdSense, which sets third-party advertising cookies (including the DART cookie) to deliver personalised ads based on your browsing activity. These cookies are governed by Google's privacy policy. You may opt out of personalised advertising at any time via Google Ads Settings or by adjusting your browser's cookie preferences. Full details of all cookies set by this site, their purpose, and their retention periods are provided in our Cookie Policy (§5 of the Privacy Policy). By continuing to use the Services you consent to our use of cookies as described therein.

14 Term and Termination

These terms apply for as long as you use the Services. We reserve the right to suspend or terminate your access at any time, for any reason, without notice — including for breach of these terms or any applicable law.

If your account is terminated, you may not create a new one. Where appropriate, we may also pursue legal remedies.

15 Modifications and Interruptions

As a small independent site, we update and maintain the Services on a best-effort basis. We may change, pause, or remove features at any time without notice, and we are not liable for any disruption that results.

We cannot guarantee the Services will always be online. Downtime, maintenance windows, and occasional bugs are a reality of running a solo project.

16 Governing Law

These Legal Terms are governed by and interpreted following the laws of Ireland, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided by obligatory provisions of the law in your country of residence.

Parapheonix and yourself both agree to submit to the non-exclusive jurisdiction of the courts of County Kerry, Ireland.

17 Dispute Resolution

Informal negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding arbitration

Any dispute arising from the relationships between the Parties to these Legal Terms shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg. The seat of arbitration shall be Tralee, Ireland. Applicable rules of substantive law shall be the law of Ireland.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to informal negotiations and arbitration

The following Disputes are not subject to the above provisions: (a) any Disputes seeking to enforce or protect intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorised use; and (c) any claim for injunctive relief.

18 Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

19 Disclaimer

The Services are provided on an as-is, as-available basis. We make no guarantees about output quality, processing speed, tool availability, or fitness for any particular purpose. In particular:

• Converted or processed files may not be perfectly compatible with every device, player, or platform.
• Processing of very large files or unusual formats may fail or produce degraded output.
• The site may be unavailable or slow at times due to maintenance, server load, or issues outside our control.

Use of the Services is at your own risk. Always keep a copy of your original file — we are not responsible for any loss resulting from a failed or corrupted conversion.

20 Limitations of Liability

IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA — ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWO (2) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

21 Indemnification

You agree to hold us harmless from any claim, loss, or expense arising from your use of the Services, your breach of these terms, or your violation of any third party's rights. This includes any reasonable costs we incur defending against such a claim.

22 User Data

Files you upload are processed on our server and deleted afterwards — typically within minutes of your job completing. We do not keep, archive, or analyse your media files. Always keep your original file; we are not liable for any loss caused by a failed conversion or unexpected deletion.

Account data (email address and usage history) is retained for as long as your account is active. See our Privacy Policy for full details.

23 Electronic Communications, Transactions, and Signatures

By using the site or creating an account, you agree that electronic communications — including emails and on-site notices — satisfy any legal requirement for written communication. Policy updates will be delivered electronically.

24 California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

25 Miscellaneous

These terms, along with any policies posted on the site, form the entire agreement between you and us. If we don't enforce a particular provision at some point, that doesn't mean we've waived it.

If any part of these terms is found to be unenforceable, the rest remains in effect. We are not responsible for failures caused by circumstances outside our reasonable control. Using the Services does not create any kind of partnership, employment, or agency relationship between us.
